Terms of Service

These terms govern your use of Metrifact, an MCP (Model Context Protocol) connector that lets AI assistants read and, where enabled, write to your own connected marketing platform accounts.
1. Your account
You must provide accurate information when signing up and are responsible for keeping your credentials secure. You must only connect accounts you own or are authorized to manage.
2. Agency and multi-client use
If you connect and manage accounts on behalf of clients, you represent that you have obtained all necessary authorization from each client to connect their account to Metrifact and to authorize an AI assistant to read their data and, where write access is enabled, propose and execute changes to their account. Your agreements with your clients should disclose your use of an AI-powered tool with API access to their advertising and analytics accounts.
Metrifact is not a party to any agreement between you and your clients and has no obligation or liability to your clients arising from that relationship. You agree to indemnify and hold Metrifact harmless from any claim, loss, or expense — including reasonable legal fees — brought by your client or any third party arising from your use of Metrifact to manage their account, regardless of whether the claim alleges fault by Metrifact. Metrifact's aggregate liability to you is not multiplied by the number of client accounts you connect; the cap in Section 7 applies to all your claims in aggregate, not per client account.
3. Write access, approval, and financial risk
Write access — the ability to create or change a campaign, ad set, ad, budget, or other setting — is only available on Google Ads and Meta Ads. GA4, Search Console, and Shopify are read-only; Metrifact cannot and does not make changes to those platforms.
Every write action is a two-step process: a preview step describes the exact change and applies nothing, and a separate, explicit confirmation step — which you must give within a 10-minute window before it expires — is what actually applies it. By enabling and using write access, you acknowledge the following:
- Activation causes real spend. New campaigns and ad sets are always created paused, but confirming a change that sets an existing campaign or ad set to active will cause it to begin serving and incurring spend on the connected platform immediately. Metrifact is not responsible for ad spend resulting from a change you confirmed.
- You are responsible for reviewing amounts before confirming. A budget increase of more than 3x the current value requires you to separately acknowledge the size of the change, but the responsibility for entering and confirming the correct amount is yours. Metrifact is not liable for ad spend resulting from a budget or bid amount you confirmed.
- Re-proposing a creation can duplicate it. If a proposed change creates a new campaign, ad set, or ad and its confirmation window expires before you approve it, re-requesting the same action produces a new, independent preview. If you separately confirm more than one such preview for the same intended creation, each will create a separate object with its own spend. Metrifact is not responsible for duplicate spend resulting from re-proposed or repeatedly confirmed creations.
- A confirmation covering multiple items may partially apply. Where a single confirmed action covers more than one item (for example, a batch update across several ads or ad sets, or a multi-step campaign launch), and execution is interrupted partway through, any items already applied before the interruption remain in effect and are not automatically reversed by Metrifact.
- Platform and Metrifact records can diverge. In rare cases a confirmed action may reach and be applied by the connected platform while Metrifact's own record of that action shows it as failed, due to a network or platform API error. Metrifact is not liable for spend or account changes resulting from this kind of divergence.
- Platform policy compliance is your responsibility. You are responsible for ensuring that any campaign, ad, targeting, or budget change complies with the connected platform's own advertising policies. Metrifact does not pre-screen proposed changes for platform policy compliance, and is not liable for ad rejection, account restriction, or account suspension resulting from a policy violation in a change you confirmed.
You are responsible for independently monitoring your connected accounts and platform billing statements. We recommend keeping an account-level spend cap set directly on the platform as a backstop, in addition to Metrifact's own confirmation flow.
4. Platform account risk
Metrifact connects to Google Ads, Meta Ads, GA4, Search Console, and Shopify only through each platform's own official API and OAuth flow — never by scraping or a shared login — and every call is paced under our own internal limits, set below what each platform allows, specifically to reduce the chance of triggering that platform's automated abuse or fraud detection. That said, Google, Meta, and Shopify independently operate their own security and enforcement systems, and may flag, restrict, or suspend an account — including one accessed through an approved third-party tool operating entirely within that platform's official API terms. Metrifact has no control over, and cannot predict or prevent, a platform's own enforcement decisions, and is not liable for any account restriction, suspension, loss of access, or loss of data resulting from a platform's independent decision to act on an account connected to Metrifact.
Google, Meta, Shopify, and the other names and logos shown on our site belong to their respective owners. We use them only to identify the services Metrifact connects to, and doing so does not imply endorsement by or affiliation with those companies.
5. Acceptable use
You may not use Metrifact to violate the terms of service of any connected platform (Google, Meta, Shopify), to access accounts you're not authorized to manage, or to attempt to reverse-engineer, scrape, or resell the service without our written permission.
6. Plans and billing
New accounts get a 7-day free trial with full access and no card required. Paid plans are billed monthly on a recurring basis. Custom plans may use other terms agreed with you in writing. You can cancel at any time and retain access through the end of your current billing period.
7. Disclaimer and limitation of liability
Metrifact is provided "as is." We do not guarantee that any specific action, campaign, or change will produce a particular result on any connected platform, or that the service will be uninterrupted, error-free, or available at all times. You remain responsible for your own accounts and ad spend.
To the maximum extent permitted by law, Metrifact is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of Metrifact or any action taken on a connected account that you confirmed. Metrifact's total aggregate liability arising from or related to your use of the service — including any write action you confirmed — will not exceed the greater of $100 or the amount you paid to Metrifact in the three months preceding the claim.
These terms, and any dispute arising from them or from your use of Metrifact, are governed by the laws of India, consistent with the Data Processing Agreement.
